TED SysOps Terms of Service
Effective date: September 23, 2026
Welcome to TED SysOps. These Terms of Service ("Terms") govern your access to and use of the TED SysOps deal management platform ("TED," "the Service"), provided by TED SysOps ("we," "us," "our"). Please read them carefully.
1. Acceptance of these Terms
By creating an account, accepting an invitation to an organization, or otherwise using TED, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you're accepting these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to both you and that organization.
We may update these Terms from time to time (Section 15). Continued use of TED after an update takes effect means you accept the revised Terms.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use TED. TED is intended for business use by real estate investment, wholesale, and brokerage teams — not for personal, consumer use.
3. Accounts and organization admins
You must provide accurate information when creating an account and keep your login credentials secure. You're responsible for all activity that happens under your account. Each login is for one person's exclusive use — passing a single set of credentials around a team isn't allowed.
Each TED account belongs to one or more organizations ("teams"). An organization's admin(s) control who has access, what role and permissions each member has, and the organization's billing. If you're a member of an organization, its admins can see and manage the data you enter within that organization, consistent with the roles they've configured.
4. Subscriptions, billing, trials, and refunds
Subscriptions. TED is offered on paid subscription plans, billed monthly or annually through our payment processor, Stripe. A valid payment method is required to start a subscription.
Free trial. New subscriptions start with a 30-day free trial. A payment method is required to start the trial, but you won't be charged until day 31.
Money-back guarantee. Not right for you? You can get a full refund of your subscription fee any time within your first 30 days — no questions asked. Contact us (Section 16) to request it. This guarantee covers only the core subscription fee — AI credits and other usage-based add-ons are charged and tracked separately, and nothing about them is refundable under this policy.
Upgrades, downgrades, and cancellation. You can upgrade, downgrade, or cancel your subscription at any time from your account settings. Upgrades and downgrades take effect on your next billing cycle. If you cancel, your subscription remains active through the end of your current billing period; we don't provide prorated refunds for a mid-cycle cancellation outside the 30-day guarantee above. Downgrading your plan may remove access to features or reduce limits on your account — we're not liable for any resulting loss of access to functionality.
AI credits. Ask TED and other AI-assisted features consume AI credits, included with your plan on a monthly allowance with additional credits available for purchase. Credits are billed as a usage-based add-on, and the 30-day money-back guarantee above doesn't extend to them.
Taxes. Subscription fees are exclusive of applicable taxes, which we'll collect where required by law.
Price changes. We may change our pricing from time to time. We'll give existing customers reasonable notice before a price change takes effect on their account.
5. Acceptable use
You agree not to use TED to:
- Violate any applicable law or regulation;
- Upload or transmit anything false, fraudulent, misleading, unlawful, defamatory, or that infringes someone else's rights;
- Attempt to gain unauthorized access to another organization's data, or to TED's systems, including by circumventing our multi-tenant data isolation;
- Send unsolicited bulk communications (spam) through TED's email, SMS, or other messaging features;
- Reverse-engineer, scrape, or extract TED's software or underlying data in bulk, other than through features we provide for that purpose (such as exports);
- Interfere with or disrupt the Service or its infrastructure.
We reserve the right to suspend or terminate accounts that violate this section.
6. Your data and ownership
You own your data. All deal, contact, company, financial, and other business data you or your organization enter into TED belongs to you. We don't claim any ownership over it.
License to operate the Service. By entering data into TED, you grant us a limited license to host, store, process, transmit, and display that data solely as necessary to provide the Service to you and your organization — for example, running your Automators, calculating commissions, rendering your dashboards, and enabling the integrations you turn on.
Export and deletion. TED doesn't currently offer a single, all-at-once account export. You can export CSV files from the specific report screens that support it today (including P&L, payouts, activity, and earnings), and you can request a copy of your broader account or organization data by contacting support. You can also request deletion of your account or organization's data at any time (see our Privacy Policy, Section 7), subject to reasonable processing time and any legal retention obligations.
7. Third-party integrations
TED integrates with third-party services you may choose to connect, including Google/Microsoft (via Nylas, for email and calendar), phone providers (such as smrtPhone or Dialpad), Slack, Google Places, and our payment processor Stripe. Your use of a connected service is also subject to that provider's own terms. We're not responsible for the availability, accuracy, or conduct of third-party services, and connecting or disconnecting them is your choice.
8. Intellectual property
TED, including its software, design, trademarks, and content (excluding your own data), is owned by us or our licensors and protected by intellectual property law. These Terms don't grant you any rights to our trademarks, logos, or branding. You may not copy, modify, or create derivative works of TED's software or interface outside of your ordinary use of the Service.
9. Affiliate program
If you participate in our affiliate/referral program, your participation is additionally governed by the affiliate program terms presented to you when you join. In case of conflict, the affiliate program terms control for affiliate-specific matters.
10. Confidentiality
Each party agrees to protect the other's confidential information (information reasonably understood to be confidential given its nature) using the same degree of care it uses for its own similarly sensitive information, and not to disclose it except as needed to perform under these Terms, as permitted by our Privacy Policy, or as required by law.
11. Disclaimers
TED IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We don't warrant that the Service will be uninterrupted, error-free, or that AI-generated content (including anything produced by Ask TED) will be accurate or complete — you're responsible for reviewing AI-assisted output before relying on it, particularly for financial or contractual decisions.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TED SYSOPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
13. Indemnification
You agree to indemnify and hold TED SysOps harmless from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
14. Termination
You may cancel your account at any time through your account settings. We may suspend or terminate your access to TED if you violate these Terms, or on reasonable notice for any other reason. Upon termination, your right to use TED ends immediately; provisions of these Terms that by their nature should survive (including Sections 6, 10, 11, 12, and 13) will survive.
15. Governing law and disputes
[Flagged for lawyer review — this section mirrors Carrot's approach pending our own counsel's confirmation of entity, venue, and dispute-resolution mechanism.] These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Oregon, and you consent to the exclusive jurisdiction of those courts.
16. Changes to these Terms
We may update these Terms from time to time by posting a revised version at this URL with a new effective date. If a change is material, we'll make reasonable efforts to notify the primary contact on your account. Continued use of TED after a change takes effect constitutes acceptance of the updated Terms.
